We have been retained to conduct an executive search for a Vice President and Division Chief Counsel for a $4.0+ Billion Industrial / Defense Organization. Our client, a tier one defense integrator, is a world leader in supplying sophisticated military equipment, engineering, systems assessments, and maintenance engineering to a broad range of domestic and international government agencies.

Position Summary

The Vice President and Division Chief Counsel provides legal representation and advice to the division’s senior management before final business decisions are reached. This individual will analyze business and legal risks to ensure that legal obligations, duties, and policies of the company are observed and performed, and that the Company’s legal rights are protected and enforced.


Essential responsibilities for the Vice President and Division Chief Counsel include:

  • Taking an active role in evaluating and providing advice on division growth initiatives to include mergers and acquisition opportunities
  • Understanding all issues associated with the funding, award, and administration of the division’s government contracts
  • Providing advice on regulations and statutes particular to Government contracting to include but not limited to: (i) assessing and mitigating organizational conflicts of interests under FAR Part 9; (ii) identifying and disclosing cost or pricing data under the Truthful Cost or Pricing Data statute; (iii) accounting for costs pursuant to the Cost Accounting Standards; (iv) assessing and mitigating potential issues under the Procurement Integrity Act; (v) resolving gratuities issues under the Government’s ethical rules
  • Coordinating with the Corporate Director of Investigations and the Corporate Vice Present of Litigation on major investigations and litigation effecting the division
  • Coordinating with the Chief Compliance Officer and Director of Compliance for the division on all compliance matters, and to support the division's Annual Compliance Plan
  • Serving as a proactive problem solver and providing innovative solutions during the drafting, negotiating, and review of contracts, subcontracts, teaming agreements, strategic alliances and other business agreements with other private parties and the Government
  • Possessing knowledge of all government contract and ethics matters and providing periodic training to the senior staff and others within the division
  • Creating an office environment where the attorneys and staff at the division can perform successfully by doing what they do best, with the appropriate resources and guidance
  • Performing all department administrative functions for the division to include budget development, tracking and reporting, significant item reporting, internal investigation reporting, and GALLUP implementation
  • Selecting and monitoring the performance of outside counsel when necessary to augment in-house legal resources
  • Supporting implementation of the Law Department's Strategic Plan

Position Requirements

The successful candidate will possess the following expertise and attributes:

  • Juris Doctorate from an ABA accredited law school is required
  • Minimum of ten years’ experience practicing government contract law in a corporate or law firm setting, preferably in an aeronautical or defense industry
  • Excellent knowledge and understanding of government law and procedures
  • A member of the Virginia Bar or be capable of being licensed through testing or comity, or in lieu of licensure be capable of obtaining a Virginia corporate counsel certificate within six months of their start date
  • Possess or be qualified to receive a U.S. DoD security clearance
  • Maintain a high degree of professional ethics and integrity
  • Demonstrate strong business judgement and decision-making skills
  • Strong written and verbal communication and interpersonal skills
